Terms of Service

  1. Acceptance of Terms These Terms of Service (the "Terms") govern access to and use of the SaraMedico website, platform, applications, APIs, and related services. By accessing or using the Services, the customer, user, or organization accepting these Terms agrees to be bound by them. If the individual accepting these Terms is doing so on behalf of an organization, that individual represents that they have authority to bind the organization.
  2. Eligibility and Authorized Use The Services are intended for healthcare professionals, healthcare organizations, authorized administrative personnel, and other business users. Users must provide accurate registration information, maintain current account details, and use the Services only for lawful and authorized healthcare or administrative workflows.
  3. The Services SaraMedico provides AI-assisted tools that may include OCR-based file intake, redaction, visit transcription, draft note generation, administrative controls, audit logging, reporting, exports, and related workflow features. Feature availability varies by plan, configuration, regulatory suitability, and technical compatibility.
  4. Clinical Use Limitation SaraMedico is a documentation and workflow support tool. It is not a medical device unless expressly stated otherwise in writing, is not intended for emergency use, and does not provide medical advice, diagnosis, treatment, or independent clinical decision-making. Users must exercise independent professional judgment at all times.
  5. Account Security Customers are responsible for maintaining the confidentiality of credentials, managing user access, using appropriate devices and networks, and promptly notifying SaraMedico of any suspected unauthorized access or compromise. The customer is responsible for all activity occurring under its accounts except to the extent caused by SaraMedico's breach of these Terms.
  6. Customer Responsibilities The customer is responsible for: (a) obtaining all rights, notices, and consents required for use of the Services; (b) ensuring that users are trained and authorized; (c) reviewing all AI-generated outputs before reliance or inclusion in a medical record; (d) complying with law, professional obligations, and payer requirements; and (e) configuring retention, permissions, and workflow settings appropriately.
  7. Acceptable Use Restrictions Customer and users shall not, and shall not permit any third party to: (i) reverse engineer, decompile, or attempt to derive source code except to the extent prohibited by law; (ii) use the Services to develop a competing product; (iii) upload malicious code; (iv) interfere with platform security or availability; (v) access the Services in violation of privacy, employment, or healthcare law; (vi) submit content they do not have rights to process; or (vii) misrepresent AI-generated content as fully verified without required review.
  8. Data Rights and Ownership As between SaraMedico and the customer, the customer retains all right, title, and interest in customer data and customer content. SaraMedico retains all right, title, and interest in the Services, software, documentation, models, interfaces, workflows, and derivative platform improvements, excluding customer data. SaraMedico may use customer data only as permitted by these Terms, the Privacy Policy, the applicable order form, and any BAA or other written agreement.
  9. AI Output and Product Improvement Because machine-generated outputs are probabilistic, SaraMedico does not warrant that transcripts, summaries, extracted fields, redactions, or draft notes will be complete, accurate, or suitable for any specific purpose without human verification. SaraMedico may use service telemetry, de-identified data, and feedback to improve the Services, provided it does not use PHI contrary to a signed BAA or applicable law.
  10. Fees, Billing, and Subscription Terms Paid plans are billed in advance on a recurring basis as described in the order form, checkout page, or pricing page. Unless otherwise stated, fees are non-refundable, exclusive of taxes, and due using an approved payment method. Customer authorizes SaraMedico and its payment processor to charge recurring fees, overages, and applicable taxes. SaraMedico may suspend access for non-payment after providing reasonable notice where commercially practicable.
  11. Trials and Promotions Any free trial, pilot, beta, or promotional offer may be modified or discontinued at any time. Trial or beta features are provided "as is" without warranty and may be subject to reduced functionality, storage, support, or retention commitments.
  12. Confidentiality Each party receiving confidential information from the other party shall use it only for the purposes of performing under these Terms and shall protect it using at least reasonable care. Confidential information does not include information that is or becomes public without breach, was lawfully known without restriction, is independently developed, or is lawfully received from a third party without duty of confidentiality.
  13. Security and HIPAA SaraMedico will maintain safeguards designed to protect customer data consistent with the security commitments described in applicable documentation and agreements. If customer requires HIPAA business associate obligations, those obligations apply only after a BAA has been executed by both parties. Without a signed BAA, the customer must not use the Services to submit PHI except as explicitly authorized in writing by SaraMedico.
  14. Availability, Maintenance, and Changes SaraMedico may update, enhance, modify, or discontinue features from time to time. We aim to maintain reasonable service availability but do not guarantee uninterrupted or error-free operation. Maintenance, outages, and third-party failures may affect availability.
  15. Integrations and Third-Party Components The Services may interoperate with third-party systems, APIs, hosting providers, EHR connectors, identity platforms, or communication tools. SaraMedico is not responsible for third-party products, even where integration is supported, except as expressly stated in writing.
  16. Suspension SaraMedico may suspend access immediately if necessary to prevent harm, maintain security, respond to suspected misuse, comply with law, or address non-payment. Where appropriate, SaraMedico will provide notice and an opportunity to cure.
  17. Term and Termination These Terms continue until terminated. Customer may stop using the Services at any time and may cancel recurring subscriptions according to the applicable plan terms. SaraMedico may terminate or decline renewal for material breach, persistent misuse, legal risk, insolvency, or discontinuation of the Services. Upon termination, rights to access the Services end except as needed for limited post-termination retrieval if offered in the applicable plan or agreement.
  18. Effect of Termination Following termination or expiration, SaraMedico may delete customer data in accordance with its retention policy, backup lifecycle, and contractual commitments, unless longer retention is required by law or agreed in writing. Customer should export needed data before termination becomes effective.
  19. Warranties Disclaimer Except as expressly stated in a signed agreement, the Services are provided on an "as is" and "as available" basis. SaraMedico disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted service, and accuracy of generated outputs.
  20. Limitation of Liability To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, even if advised of the possibility. SaraMedico's aggregate liability arising out of or related to the Services will not exceed the fees paid or payable by customer to SaraMedico for the twelve months preceding the event giving rise to the claim, unless a different cap is stated in a signed order form or enterprise agreement.
  21. Indemnity Customer will defend and indemnify SaraMedico against third-party claims arising from customer data, unlawful use of the Services, failure to obtain required consents, or breach of these Terms. SaraMedico will defend customer against third-party claims alleging that the Services, as provided by SaraMedico and used as authorized, infringe a U.S. intellectual property right, subject to customary exclusions, procedures, and remedies.
  22. Changes to Terms SaraMedico may update these Terms from time to time. Updated Terms become effective when posted or when otherwise communicated, except where law requires additional notice. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
